End User License Agreement

This is a legal agreement between you and insigne regarding the use of Font-Software, as defined in section 1.2, for use exclusively within the Typekit service. By installing or using the Font-Software you agree to be bound by the terms of this End User License Agreement. If you do not agree to the terms of this EULA, do not use the Font-Software.

1. Definitions

1.1. “insigne” means Jeremy Dooley dba insigne, PO Box 4067, Chattanooga, Tennessee, 37405, United States.

1.2. “Font-Software” means the fonts or font families that insigne licenses to you for your use pursuant to this End User License Agreement.

1.3. “Service” means the Typekit Service website accessible from typekit.com, and all other services, features, or content made available to you on and through the Typekit Service.

1.4. “Typekit Marketplace” means the service through which Adobe offers for direct sale Font- Software.

1. Use of Licensed Fonts; Font License; Precedence

2.1. Use of Licensed Fonts. Your use of the Font-Software is governed by this End User License Agreement. You acknowledge this agreement is solely between insigne and you and not with Adobe. Your use of the Service is governed by the Adobe.com Terms of Use (“General Terms”) and the Typekit Services Agreement Additional Terms (“Additional Terms”) located at www.adobe.com/go/terms and which are incorporated into the EULA by this reference.

2.2. License Grant. The Font-Software is licensed, and not sold, to you under this EULA. You have no ownership rights in the Font-Software. Licensee (you or your employer) is licensed to use the software on the number of computers licensed. Insigne grants to you a non-exclusive, non-transferable right and license to access the Font-Software provided to you in the Typekit Marketplace and to use the Font-Software on and through the Typekit Service, except in jurisdictions where the law provides a right of transfer. Insigne Font-Software is protected under domestic (USA) and international copyright law.

1. Warranty Insigne is not responsible for any product warranties, whether express or implied by law. Adobe is not responsible for any product warranties, whether express or implied by law. Insigne or Adobe are not responsible for any problems that may arise from the use of the Font-Software, such as computer malfunctions, idle time, shortfall of production, waste of material and any other direct, indirect, incidental or consequential damages that are caused by insigne Font-Software.

2. Product Claims You acknowledge that insigne, not Adobe, is responsible for addressing any claims by you or any third party relating to the Font-Software and your possession and/or use of that Font-Software, including, but not limited to infringement on a third party’s intellectual property rights, product liability claims, or any declaration that does not comply with any applicable law or regulatory requirements, and claims arising from consumer protection or similar legislation.

3. Maintenance and Support If the Font-Software does not work as expected, you may notify insigne and insigne will attempt to remedy the issue. Insigne cannot provide a refund directly, but you may contact Adobe. Adobe will only provide a refund for the Font-Software Licensee ordered. Adobe has no obligation to provide any maintenance and support services with respect to the Font-Software.

4. Legal Compliance You acknowledge that you are not located in a country subject to U.S. government embargo or other restrictions. The Font-Software is governed by US export control laws and regulations. If the Font-Software is obtained outside the United States, this agreement is subject to the laws of the jurisdiction in which it was obtained. You agree to comply with all applicable export and re-export controls, laws and regulations of the United States. You agree that you will not export, re-export or transfer all or part of the Font-Software to any country, person or entity that is subject to US export restrictions.

5. Intellectual Property Laws The Font-Software and any updates, upgrades, additions or modified versions are the intellectual property of Jeremy Dooley dba insigne. This Font-Software is protected by US intellectual property laws and other laws and international laws and treaties. You agree to use the Font-Software in a manner consistent with all applicable laws in the jurisdiction in which the Font-Software is used, including but not limited to applicable restrictions on copyright and other intellectual property rights.

6. Privacy insigne will collect personal information by lawful and fair means and, where appropriate, with the knowledge or consent of the individual concerned. We will collect and use personal information solely for fulfilling those purposes specified by us and for other ancillary purposes, unless we obtain the consent of the individual concerned or as required by law. We will protect personal information by using reasonable security safeguards against loss or theft, as well as unauthorized access, disclosure, copying, use or modification. We are committed to conducting our business in accordance with these principles to ensure that the confidentiality of personal information is protected and maintained. 7. Governing Law This License agreement is governed by and construed in accordance with the laws of Tennessee and you irrevocably submit to the exclusive jurisdiction of the courts in that State or location.
