URW++ Font Software License for Adobe’s Typekit Marketplace

Preamble

This license agreement for Font Software becomes a legally binding contract between the licensee and URW++ GmbH when the licensee agrees to the Terms of Condition in an electronic delivery method.

If the licensee refuses to accept a contractual obligation through this license agreement, he is not permitted to access or use the Font Software. The licensee should thoroughly and carefully read through the complete license agreement before agreeing to the conditions specified here.

The Font Software underlying this agreement is the intellectual property of the URW++ GmbH and/or its licensors. It contains URW++ Font Software with digital, machine-readable, scalable font software data, and is supplied to you by URW++ for usage exclusively with and through the Typekit service only. Usage of the URW++ Font Software is ruled by this license agreement.

1. License Agreement

Your use of the font(s) is governed solely by this URW++ Font Software License, not by Adobe. Only URW++, not Adobe, is responsible for the font software.

2. License Grant.

URW++ grants to you a non-exclusive, non-transferable right to use the URW++ Font Software on and through the Typekit Marketplace and to use the URW++ Font Software on and through the Typekit Service, except in jurisdictions where the law provides a right of transfer. The URW++ Font Software is solely for use in your own business, and it remains URW++’s ownership at all times.

3. Proprietary Rights and Obligations

The URW++ Software is the valuable property of URW++. You will not make or have made, or permit to be made, any copies of the URW++ Software, documentation, or any portions thereof.

4. Assignment.

Assigning the license to a third party is not permitted.

5. Exclusion of Other Usage

Subject to the provisions 1 and 2 of this agreement, selling, lending or otherwise transferring the URW++ Font Software to a third party or parties is strictly prohibited. Furthermore, licensee agrees not to modify, adapt, translate, rent, lease, resell, distribute, produce, reverse engineer, decompile, disassemble, re-digitize or create derivative works or typefaces based on the URW++ Font Software.

6. No Other Rights

URW++ retains title and ownership of the URW++ Font Software and all subsequent copies of the URW++ Font Software, regardless of the form or media in or on which the original and other copies may exist. Except as stated above, this Agreement does not grant you any rights to trademark or any other intellectual property rights in the URW++ Font Software or in any typeface design. In the event your use of this software is found to infringe on the intellectual property rights of any third party, in any jurisdiction, you will cease use of such software in such jurisdiction or you will secure any and all additional rights necessary for such use in such jurisdiction. In no event shall Adobe be responsible for any third party claim whatsoever relating to the URW++ Font Software.

7. Limited Warranty

URW++ warrants that the URW++ Font Software delivered to you to be free of defects in workmanship and manufacture. Adobe is not responsible for any product maintenance and support for the URW++ Software, and Adobe is not responsible for any product warranties for URW++ Software, whether express or implied by law. If there are any defects in workmanship and manufacture of the URW++ Font Software, please contact URW++ at info@urwpp.de.

EXCEPT AS EXPRESSLY PROVIDED ABOVE, THE URW++ SOFTWARE IS PROVIDED “AS IS”. URW++ DOES NOT AND CANNOT WARRANT THE PERFORMANCE OR RESULTS YOU MAY OBTAIN BY USING THE URW++ SOFTWARE. THE FOREGOING STATES THE SOLE AND EXCLUSIVE REMEDIES FOR URW++’s BREACH OF WARRANTY. EXCEPT FOR THE FOREGOING LIMITED WARRANTY, URW++ MAKES NO WARRANTIES EXPRESSED OR IMPLIED AS TO NON - INFRINGEMENT OF THIRD PARTY RIGHTS, OR FITNESS FOR A PARTICULAR PURPOSE. URW++ DOES NOT MAKE ANY WARRANTY OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTYICULAR PURPOSE.

In the event of any failure of the licensed URW++ Font Software, you may notify Adobe, and Adobe may, at its discretion, refund the purchase price for the licensed URW++ Fonts Software to you. Adobe will have no other warranty obligation whatsoever with respect to the licensed URW++ Font Software.

8. Limit of Liability

In no event will URW++ be liable to you for consequential or incidental damage (including damage from loss of business profits or savings, business interruption, loss of business information, and the like) or for claims by any party arising out of the use of or inability to use the URW++ Software, even if URW++ has been advised of the possibility of such damage.

9. Legal Compliance

You represent and warrant that you are not located in a country that is subject to U.S. government embargo, or that has been designated by the U.S. government as a “terrorist supporting” country, and that you are not listed on any U.S. government list of restricted parties.

10. Privacy

10.1 We comply with principles of assigned data use. This means that we collect, process and store your personal data only for the purposes you have communicated to us. Without your express consent, your personal data will not be passed on to third parties unless required for performing a specific service or for executing a contract. Even the transmission of information to state institutions or authorities entitled to receive such information only takes place within the scope of legal disclosure requirements or where we are required by a court decision to effect disclosure thereof. We also take internal company privacy very seriously. Our staff and service enterprises commissioned by us are bound to secrecy and to observing data privacy regulations.

10.2 INFORMATION AND RIGHTS OF REVOCATION We will furnish you with information on your data stored with us whenever requested without the need to state reasons. You may at any time have the data collected by us blocked, corrected or deleted. You may also, whenever you wish, revoke any consent you have given to us to collect and use data without specifying reasons for your decision. 11. Governing Law.

This Agreement will be governed by the laws in force in the Federal Republic of Germany.
